These General Terms and Conditions (GTC) govern the use of the Tour Lotse software by businesses (B2B).
1. Scope
These GTC apply to all contracts for the use of Tour Lotse between [provider] (the “Provider”) and the customer. Deviating terms of the customer apply only with express written confirmation.
2. Subject matter
The Provider makes Tour Lotse available to the customer as web-based software (Software as a Service) for use over the internet. Installation at the customer’s site is not required.
3. Scope of services
The specific range of functions results from the service booked or the selected subscription. The Provider continuously develops the software and may adjust the scope of functions.
4. Prices and payment
The prices agreed at the time of booking apply. Unless otherwise agreed, billing is monthly in advance. All prices are exclusive of statutory VAT.
5. Term and termination
The contract is concluded for an indefinite period and may be terminated monthly unless a different minimum term has been agreed. The right to extraordinary termination remains unaffected.
6. Customer obligations
The customer keeps access credentials confidential, uses the software lawfully at all times and is responsible for the accuracy and lawfulness of the data they enter.
7. Availability
The Provider endeavours to ensure high availability of the software. Planned maintenance windows and disruptions beyond the Provider’s control may temporarily limit availability.
8. Liability
The Provider is liable without limitation for intent and gross negligence and under the Product Liability Act. In the case of simple negligence, liability applies only to the breach of material contractual obligations and is limited to the foreseeable damage typical for the contract.
9. Data protection
The processing of personal data is governed by the privacy policy and a separate data processing agreement to be concluded pursuant to Art. 28 GDPR.
10. Final provisions
The law of the Federal Republic of Germany applies. Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
